職責:
1. 負責公司各類合同(如業(yè)務合同、合作協(xié)議、勞動合同等)的起草、審核與修訂,確保條款合法合規(guī),規(guī)避合同風險;
2. 處理公司日常法律問題,包括但不限于糾紛協(xié)商、訴訟與仲裁案件對接,協(xié)調外部律師團隊推進案件進展;
3. 參與公司重大業(yè)務決策(如投資、并購、合作項目),提供法律意見,識別潛在法律風險并提出解決方案;
4. 協(xié)助建立和完善公司合規(guī)體系,開展法律合規(guī)培訓(如勞動法、商業(yè)秘密保護、數(shù)據(jù)安全等),確保員工遵守相關法律法規(guī)及公司制度;
5. 負責公司法律文件(如合同檔案、訴訟材料、資質文件)的整理、歸檔與保管,確保文件的完整性和安全性。
經(jīng)驗與要求:
1. 本科及以上學歷,法律相關專業(yè),持有法律職業(yè)資格證或律師執(zhí)業(yè)證者優(yōu)先;
2. 45周歲以下,3-5年以上公司法務或律師事務所相關工作經(jīng)驗,熟悉民商法、公司法、合同法等法律法規(guī);
3. 具備較強的合同審核、法律文書撰寫能力;有良好的溝通協(xié)調能力,能與業(yè)務部門、外部機構高效協(xié)作;具備風險預判意識和問題解決能力;
4. 原則性強,恪守法律職業(yè)操守;熟悉海外安保行業(yè)法律法規(guī)者優(yōu)先。
Responsibilities:
1. Draft, review, and revise the company’s various contracts (e.g., business contracts, cooperation agreements, employment contracts) to ensure clauses are legally compliant, and mitigate contract risks.
2. Handle day-to-day legal matters, including dispute negotiation, and liaise on litigation and arbitration cases; coordinate with external counsel to drive case progress.
3. Support major business decisions (e.g., investments, mergers and acquisitions, partnerships) by providing legal advice, identifying potential legal risks, and proposing solutions.
4. Assist in establishing and enhancing the company’s compliance framework; conduct legal compliance training (e.g., labor law, trade secret protection, data security) to ensure employee adherence to applicable laws and internal policies.
5. Be responsible for organizing, archiving, and safeguarding legal documents (e.g., contract files, litigation materials, qualification documents) to ensure their completeness and security.
Experience and Qualifications:
1. Bachelor’s degree or above in Law or a related field; possession of the Legal Professional Qualification Certificate or Lawyer’s Practicing Certificate is preferred.
2. Under 45 years old,3-5 years of experience in corporate legal or law firm roles; familiarity with Civil Law, Commercial Law, Contract Law, and other applicable regulations is required.
3. Strong capabilities in contract review and legal drafting; excellent communication and coordination skills to work effectively with business unitsand external counsel/agencies; demonstrated risk?anticipation mindset and problem-solving ability.
4. Principled and committed to the legal profession’s code of ethics; familiarity with overseas security industry laws and regulations is preferred.
